Both pitchers are former Cy Young Award winners. A few final details were pending, the report said, and minor-league players are said to be included in the three-team trade.
Various reports said the trade is a complicated one, and that a contract extension is likely to be worked out for Halladay, who, like Lee, is eligible for free agency after the 2010 season.
The baseball Web site mlb.com said it learned from sources the Phillies and Mariners would send minor-league prospects to Toronto as part of the deal.
Halladay, 32, a six-time all-star, has spent his entire 12-year career in Toronto. Lee, 31, has pitched for Cleveland, where he won 22 games in 2008, and Philadelphia.
Halladay won the Cy Young Award in 2003 and Lee won it in 2008.
Halladay has a record of 148-76 with an earned run average of 3.43. Lee is 90-52 with an ERA of 3.97 with the Indians and Phillies.
